Terms of Service

1. Acceptance & parties

These Terms of Service (the "Terms") constitute a binding agreement between you (the "User", "you") and HypeCity Intelligence LTD, a private limited company incorporated in Israel, Company No. 517353868, registered office 18 Maze St, Tel Aviv, Israel ("HypeCity", "we", "us", "our"). By accessing or using the websites at hypecintelligence.com and hypecity.com, the underlying applications, APIs, content, AI features, and any related services (collectively, the "Service"), or by clicking a button signaling acceptance, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Notice, Acceptable Use Policy, Disclaimer, Scoring Disclaimer and Refund Policy, each of which is incorporated by reference.

If you do not agree, do not access or use the Service.

2. Eligibility

You may use the Service only if you (a) are at least 18 years of age (or the age of majority in your jurisdiction, if higher) and have full legal capacity to enter into a binding contract; (b) are not barred from receiving the Service under any applicable law; and (c) if you are accepting on behalf of an entity, you represent and warrant that you have authority to bind that entity, in which case "you" refers to that entity. The Service is not directed at children under 16 and you may not use it on behalf of anyone under that age.

3. Key definitions

• Account. Your anonymous browser identity (the hc_anon cookie) and, once you upgrade, the billing email and subscription tier linked to it.
• Hype Score™. HypeCity's proprietary 0-100 neighborhood signal, as described in the Scoring Disclaimer.
• Output. Any analysis, scoring, comparison, AI-generated text, voice response, simulation, report, or other result the Service produces.
• Paid Plan. Any tier other than Free (Starter, Investor, Founding Lifetime, Teams).
• Paddle. Paddle.com Market Limited (UK) and Paddle Inc. (US), our Merchant of Record, as described in Section 7.
• User Inputs. Content you submit to the Service, such as listing URLs, property details, quiz answers, or chat messages.

4. Anonymous access & Accounts

The Service is anonymous-first. We assign each browser a random identifier (the hc_anon cookie) so we can persist your Watchlist, quiz results, AI Copilot history (on your device), and subscription status without requiring sign-up. You do not need to create an account to use the Free tier.

When you take out a Paid Plan, Paddle collects an email address during checkout. That email becomes the recovery and notice address for your subscription. You are responsible for keeping it current, for the security of your device, and for all activity that occurs under your Account, whether or not authorized by you. Notify us at support@hypecintelligence.com if you suspect unauthorized use.

5. Licence to use the Service

Subject to your continuous compliance with these Terms, HypeCity grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your own personal or internal business research, during the term of your subscription (or, on the Free tier, until you stop using the Service or we terminate access).

All rights not expressly granted are reserved by HypeCity. The licence does not transfer any ownership, intellectual property right, or right to create derivative works to you.

6. Acceptable use

You agree to comply with the Acceptable Use Policy at all times. Without limiting that policy, you will not, and will not permit any third party to:

• scrape, mirror, crawl, harvest, or systematically extract Service data outside any documented public-API access we explicitly offer to your tier;
• resell, sublicense, lease, distribute, white-label, frame, or commercially exploit the Service or any Output, except as expressly permitted in writing by HypeCity;
• use the Service to violate any law, including securities, banking, anti-money-laundering, sanctions, real-estate licensing, tax, fair-housing, or consumer-protection rules in your jurisdiction or the jurisdiction of any property you analyze;
• reverse-engineer, decompile, disassemble, or attempt to derive the source code, Hype Score™ formula, model weights, or trade secrets of the Service, except to the limited extent applicable law expressly permits notwithstanding this prohibition;
• bypass, defeat, or circumvent paywalls, rate limits, authentication, anti-bot protections, or other technical access controls;
• train any machine-learning model on the Output or on data extracted from the Service;
• upload viruses, worms, ransomware, or other malicious code, or interfere with the integrity or performance of the Service;
• infringe any intellectual-property right, privacy right, publicity right, or contractual restriction of any third party in connection with your User Inputs;
• use the Service to make automated decisions about individuals that produce legal or similarly significant effects on them.

7. Paddle — Merchant of Record

HypeCity uses Paddle as its Merchant of Record (MoR). This means that, for all paid purchases, Paddle — and not HypeCity — is the seller of record on the transaction. When you purchase a Paid Plan:

• your contract for the purchase itself is with Paddle, which acts as a reseller of HypeCity's subscription;
• Paddle issues the invoice and (where applicable) the tax receipt;
• Paddle collects, calculates, and remits all applicable taxes — including EU and UK VAT, Israeli VAT at the rate then in force, Australian GST, US sales tax in supported states, and any equivalent indirect tax — based on your billing country, billing address, and (for EU/UK B2B) any valid VAT number you supply at checkout;
• Paddle handles refunds and chargebacks under the Refund Policy and Paddle's own terms;
• Paddle's Buyer Terms and Privacy Policy apply to the checkout, the payment, and the billing relationship.

These Terms continue to govern your access to and use of the Service itself once Paddle has processed your purchase.

8. Plans, pricing & renewals

Pricing. Current plan pricing is published at /pricing. All prices are stated in US Dollars (USD) and are exclusive of VAT, GST, sales tax, and any equivalent indirect tax. Tax (where applicable) is calculated and added by Paddle at checkout based on your billing country and address. EU/UK B2B customers may enter a valid VAT number on the Paddle checkout to apply the reverse-charge mechanism where eligible.

Free tier. The Free tier is free of charge and may be used subject to the quotas and feature limits published at /pricing, which we may adjust from time to time. The Free tier is provided "as is" and may be modified, suspended, or discontinued at any time without notice.

Monthly subscriptions (Starter, Investor, Teams). Monthly Paid Plans renew automatically each calendar month at the then-current price until you cancel. By taking out a monthly Paid Plan, you authorise Paddle to charge your payment method on each renewal date. You may cancel at any time from the Paddle customer portal (linked in your receipt) or by contacting support; cancellation stops the next renewal and you keep paid-tier access until the end of the current billing period, after which the Account downgrades to Free.

Founding Lifetime plan — definition and limitations. The "Founding Lifetime" plan ($720 one-time) is a single, non-recurring payment that does not auto-renew and is never auto-charged again. The word "Lifetime" in this plan name is a marketing descriptor with the following contractual meaning: access for up to seven (7) years from the date of purchase, or until HypeCity discontinues the Service, whichever comes first. It does not mean perpetual or unlimited-duration access. HypeCity reserves the right to discontinue the Service (see Section 17), in which case the Founding Lifetime plan terminates at the effective discontinuation date regardless of elapsed time. The cohort price for the first 180 Founding Lifetime members will not be increased for those members during their term.

Promotional codes, discounts, and credits are subject to additional terms displayed at the time of issuance and may be revoked if misused.

Failed payments. If Paddle is unable to charge your payment method on a renewal, your subscription will enter a grace period during which Paddle's standard retry schedule applies. If payment is not received by the end of that grace period, your Account will downgrade to Free and Paid Plan features will become inaccessible until payment is brought current.

Price changes. We may change the price of any plan on a going-forward basis. For an existing subscriber on a monthly plan, the new price takes effect at the next renewal that occurs at least 30 days after notice (sent to the email on file or posted at /pricing). You may cancel before that renewal to avoid the new price.

9. Refunds & right of cancellation

Refunds, the EU/UK 14-day right of withdrawal, the Israeli Consumer Protection Law right of cancellation, and the chargeback process are set out in full in the Refund Policy. The Refund Policy forms part of these Terms. To the extent of any conflict between this Section and the Refund Policy, the Refund Policy controls.

10. AI Copilots & AI-generated Output

The Service includes AI-powered features (the AI Deal Analyzer, the AI Copilots known as "Roison" and "Antonia", the Speed Match quiz, and similar features). The Output of these features is generated by large language models and statistical signals and is provided for general informational purposes only. It may be incomplete, inaccurate, outdated, or unsuitable for your specific situation. It is not investment, legal, tax, accounting, brokerage, mortgage, immigration, or appraisal advice.

You are solely responsible for evaluating, verifying, and acting on any Output. You should consult appropriately qualified licensed professionals in your jurisdiction before making any real-money decision. To the extent any User Input or Output references third-party data, that data is the property of its respective owner and may be subject to further restrictions.

HypeCity may use anonymised and de-identified User Inputs and AI prompts/responses to operate, secure, improve, troubleshoot, and develop the Service, including for model evaluation, safety testing, and product analytics. We do not use your User Inputs to train third-party large-language models beyond the inference necessary to generate your Output.

11. Intellectual property

HypeCity property. The Service, including HypeCity, Hype Score™, the Pulse, the Speed Match quiz, the AI Copilots, the methodology and weights behind the scores, our datasets, snapshots, copy, code, designs, trade dress, trademarks, service marks, and brand are owned by HypeCity Intelligence LTD or its licensors and are protected by copyright, trademark, trade-secret, and other intellectual-property laws. You receive only the limited licence in Section 5; no other right, title, or interest is transferred to you.

Your User Inputs. You retain ownership of your User Inputs. You grant HypeCity a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, transmit, display, modify, and process your User Inputs to the extent necessary to provide the Service, secure it, comply with law, and improve it (including in anonymised or de-identified form). You represent and warrant that you have all rights necessary to grant this licence and that your User Inputs do not infringe any third-party right or violate any law.

Output rights. Subject to your continuous compliance with these Terms and your active subscription, HypeCity grants you a non-exclusive, non-transferable licence to use the Output for your own personal or internal business research. You may not sublicense, resell, republish, or use any Output as input to train a machine-learning model. Hype Score™, the underlying methodology, and the formula remain the exclusive property of HypeCity.

Feedback. If you send us suggestions, ideas, feature requests, or bug reports ("Feedback"), you grant HypeCity a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use the Feedback for any purpose without compensation or attribution. Feedback is not your Confidential Information.

12. Third-party services & links

The Service may link to or interoperate with third-party websites, services, or content (including Paddle, our hosting providers, mapping providers, listing portals, and "Vetted Partner" links such as mortgage lenders or LLC formation services). Those third parties are independent of HypeCity. We are not responsible for their content, accuracy, availability, security, or practices, and your dealings with them are solely between you and them.

Vetted Partner / affiliate disclosure. Where the Service displays a panel marked "Vetted Partners — we may receive a referral fee," HypeCity may receive a referral fee at no additional cost to you if you click through and engage with the partner. These arrangements have no influence on our scores, analysis, data, or editorial content. Inclusion is not an endorsement. You should independently evaluate every partner. You may opt out of referral tracking by setting the affiliate_opt_out=1 cookie.

13. Service availability & changes

We aim to keep the Service available, but we do not commit to any specific uptime, response time, latency, or service-level. The Service may be temporarily or permanently unavailable due to maintenance, upgrades, outages of third-party providers, force majeure events, or changes we make to the Service. We may add, remove, or change features at any time without liability.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE HYPE SCORE™, THE PULSE, ALL OUTPUTS, AND ANY DATA OR CONTENT MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HYPECITY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

HYPECITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. ANY DECISION YOU MAKE BASED ON THE SERVICE IS YOUR DECISION ALONE AND AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HYPECITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OPPORTUNITY, OR INVESTMENT RETURN, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY OUTPUT, OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF HYPECITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HYPECITY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, FROM ALL CAUSES AND UNDER ALL THEORIES OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO HYPECITY (OR THROUGH PADDLE FOR HYPECITY'S SUBSCRIPTION) IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (USD 100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law (including, where applicable, liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or the mandatory consumer-protection rights of consumers domiciled in the EU/EEA, the UK, or Israel). Where any such liability arises, the cap above applies only to the extent permitted.

The disclaimers and limitations in this Section 14 and Section 15 are a fundamental basis of the bargain between you and HypeCity and would not be possible on an economic basis without them.

16. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless HypeCity and its officers, directors, employees, agents, affiliates, and licensors from and against any and all third-party claims, demands, suits, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Inputs; (b) your use of the Service or any Output; (c) your breach of these Terms, any incorporated policy, or any law; or (d) your violation of any third-party right, including intellectual-property, privacy, or publicity rights. HypeCity may, at its option, assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you will cooperate with our defence.

17. Suspension & termination

By you. You may stop using the Service at any time. To cancel a Paid Plan, use the Paddle customer portal (linked in your receipt) or contact support@hypecintelligence.com.

By us. We may suspend or terminate your access (in whole or in part) at any time, with or without notice, if (a) you breach these Terms or any incorporated policy; (b) we reasonably suspect fraud, abuse, illegal use, or a security risk; (c) we are required to do so by law, court order, or competent authority; or (d) we discontinue the Service or any part of it.

Effects. Upon termination, your licence to access the Service ends and any unpaid amounts become immediately due. Sections that by their nature should survive (including Sections 6, 10–12, 14–16, 18–22 and 24) will survive.

18. Force majeure

HypeCity will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, governmental action, sanctions, embargoes, strikes, pandemics, internet or infrastructure outages, cyber-attacks, denial-of-service attacks, or failures of cloud providers or other sub-processors.

19. Sanctions & export controls

You represent and warrant that you are not located in, ordinarily resident in, or a national of any country or territory subject to comprehensive economic sanctions (including, as of the date of these Terms, Iran, Syria, North Korea, Cuba, and the Crimea, Donetsk, and Luhansk regions), and that you are not listed on any sanctioned-party list maintained by the United Nations, the United States, the European Union, the United Kingdom, or the State of Israel. The Service may not be used in violation of any applicable export-control or sanctions law.

20. Governing law & jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the substantive laws of the State of Israel, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the mandatory consumer-protection rights of consumers domiciled in the EU/EEA, the UK, or another jurisdiction whose law affords such rights and that cannot be lawfully derogated from by contract, the competent courts of Tel Aviv-Yafo, Israel will have exclusive jurisdiction over any dispute, claim, or controversy arising out of or in connection with these Terms or the Service, and you submit to the personal jurisdiction of those courts.

Class-action waiver (where lawful). To the maximum extent permitted by applicable law, you and HypeCity each agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

21. Changes to these Terms

We may modify these Terms from time to time. If a change is material, we will give you reasonable advance notice (by email to the address on file for Paid Plan users, by an in-product notice, or by updating the "Effective" date at the top of this page). The updated Terms take effect on the effective date stated in the notice. By continuing to use the Service after that date, you accept the updated Terms. If you do not agree, you must stop using the Service before the effective date.

22. Miscellaneous

• Entire agreement. These Terms, together with the policies they incorporate by reference, constitute the entire agreement between you and HypeCity regarding the Service and supersede all prior or contemporaneous communications.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to be enforceable while preserving the parties' intent.
• No waiver. A failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. HypeCity may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• Relationship. Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, or agency relationship between you and HypeCity.
• No third-party beneficiaries. Except as expressly stated, these Terms do not confer any right on any third party.
• Notices to HypeCity must be sent in writing to legal@hypecintelligence.com. Notices from HypeCity may be given by email, in-product banner, or posting at /legal.
• Language. These Terms are concluded in English. Any translation is for convenience only; the English text controls.
